Terms of Service
The short version
- AnyWatch is a service that connects wearable devices and health apps to coaching, fitness and wellness products.
- If you invite athletes or members, you are responsible for having their consent and for how you use their data.
- AnyWatch is not a medical device and does not give medical advice.
- Device providers can change or limit their APIs, so some sources may not always be available.
1. Acceptance
These Terms of Service ("Terms") govern your access to and use of AnyWatch, including the website anywatch.space, the portal app.anywatch.space, the API at api.anywatch.space, the device connection pages, the mobile SDKs and the MCP server (together, the "Service"). The Service is provided by SOLIT TECH SAS, a company organized under the laws of the Oriental Republic of Uruguay, with its registered office in Montevideo, Uruguay ("SOLIT TECH", "we", "us").
By creating an account, connecting a device, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization. If you have a separate signed agreement with us, that agreement prevails where it conflicts with these Terms.
2. The service
AnyWatch lets coaches, clubs, gyms, app developers and other businesses ("Clients") connect the wearable devices and health apps of their athletes, members or users ("Athletes"), and receive their activity, sleep, recovery, body and related data in a normalized format through the portal, API, webhooks and integrations.
We may add, change or remove features. We will give reasonable notice before removing a feature that Clients rely on, unless the change is required by law, by a device provider, or for security.
3. Accounts
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your passwords and API keys secret, and for all activity under your account and keys. Tell us promptly at the contact below if you suspect unauthorized access.
- You must be at least 18 years old, or the age of majority where you live, to create a Client account.
4. Client responsibilities
If you are a Client, you agree that:
- you have a lawful basis, including any consent required by law, to collect and use the data of each Athlete you invite, and you give Athletes clear information about how you use their data;
- you will not invite anyone under 16 without the verifiable consent of a parent or guardian where the law requires it;
- you will use Athlete data only for the coaching, fitness, wellness, research or product purposes you have disclosed to them, and in line with applicable law, including health and consumer data laws;
- you are responsible for your own apps, integrations and AI tools that receive data from the Service, and for keeping that data secure;
- you will promptly pass on to us, or act on, Athlete requests to access or delete their data.
For Athlete data, we act as your service provider and process the data on your instructions, as described in the Privacy Policy. If the law that applies to you requires a data processing agreement, contact us and we will sign one with you.
5. Athletes and members
If you connect your devices at the invitation of a Client, the Client decides how your data is used, and its own terms and privacy policy also apply. You choose which devices and apps to connect, and you can disconnect them at any time in the app, the portal, or the provider's own settings.
6. Acceptable use
You must not:
- connect accounts or devices that you are not authorized to connect, or access data of people who have not agreed to it;
- sell Athlete data, use it for advertising profiles, or use it to make decisions about employment, insurance, credit or housing;
- try to break, overload, probe or bypass the security or rate limits of the Service, or interfere with other users;
- copy, resell or offer the Service as your own standalone product without our written agreement;
- use the Service in breach of any law or of a device provider's terms.
7. Device providers
The Service depends on APIs and SDKs offered by third parties, such as Garmin, Oura, Whoop, Polar, Suunto, COROS, Strava, Fitbit, Withings, Ultrahuman, Google, Apple and Samsung ("Providers"). Providers are not party to these Terms, and their own terms and policies apply to your use of their products. Providers may change, limit, charge for or discontinue their APIs, or revoke access, at any time. We do not control this, and we are not responsible for the availability, accuracy or completeness of the data that Providers deliver. If a Provider requires it, we may have to stop offering that source or change how it works.
8. Data and privacy
Our Privacy Policy explains how we collect, use and protect personal data. As between you and us, Clients and Athletes keep all rights in the data they bring to the Service. You give us the rights needed to host, process, transmit and display that data to provide, secure and improve the Service. We may use aggregated and de-identified statistics that do not identify any person or Client to operate and improve the Service.
9. Intellectual property
The Service, including its software, design, documentation and the AnyWatch name and logo, belongs to SOLIT TECH or its licensors. Parts of the Service are built on open-source software, which is licensed to you under its own license terms. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or account. If you send us feedback, we may use it without any obligation to you.
10. Fees and beta
Some features may be offered free of charge, as a trial, or as a beta. Paid plans, prices and payment terms are set out in an order form or separate agreement with us. Beta features are provided as they are, may change or end at any time, and may have lower reliability. Unless agreed otherwise in writing, fees are exclusive of taxes, which you are responsible for.
11. Not medical advice
AnyWatch is not a medical device and is not intended to diagnose, treat, cure or prevent any disease or medical condition. Data, scores and insights provided through the Service, including by AI tools, are for general fitness, wellness and coaching purposes only, may be inaccurate, and are not a substitute for professional medical advice. Always consult a qualified health professional about medical questions, and seek emergency help when needed.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Service will be uninterrupted, error-free, or that data from any Provider will be complete or timely.
13. Limitation of liability
To the maximum extent permitted by law, SOLIT TECH will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to the Service. Our total liability for all claims related to the Service is limited to the greater of the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or USD 100.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, gross negligence or wilful misconduct, or rights you have as a consumer under mandatory law.
14. Indemnity
If you are a Client, you will defend and indemnify SOLIT TECH against claims, damages and costs, including reasonable legal fees, arising from your use of Athlete data, your apps and integrations, or your breach of these Terms or of the law.
15. Suspension and termination
You can stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, if required by law or by a Provider, or to protect the Service or other users. Where reasonable, we will tell you first and give you a chance to fix the issue. After termination, you can ask us to export or delete your data within 30 days, after which we delete it as described in the Privacy Policy. Sections that by their nature should survive termination, including 8 to 14 and 17, will survive.
16. Changes to these Terms
We may update these Terms. If the changes are significant, we will notify Clients by email or in the portal at least 30 days before they take effect, unless a faster change is required by law or by a Provider. If you continue to use the Service after the changes take effect, you accept the updated Terms.
17. Governing law and disputes
These Terms are governed by the laws of the Oriental Republic of Uruguay, without regard to its conflict-of-law rules. Any dispute will be resolved by the competent courts of Montevideo, Uruguay. If you are a consumer, this does not take away the protection of mandatory laws of the country where you live, or your right to bring a claim there.
If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
